Welcome to OKT (the "Service"). The OKT Terms of Service (the "Agreement") constitute the terms of service between you and CITY LIFE DIGITAL PLATFORM TECHNOLOGY COMPANY LIMITED ("OKT" or "we"). Please read the following in full before registering as a user of OKT:

* If you are under 18 years of age, please read this Agreement in the presence of your legal guardian.

* By using the Service, you indicate that you have read and agree to the entire Agreement. If you do not accept any provision of this Agreement, please do not install, use, register, or otherwise access OKT products or services.

* Please pay special attention to the disclaimer and dispute resolution / jurisdiction provisions in this Agreement. The following terms are for you (the "User") to read in detail:

1.1 OKT currently provides users with a mobile calling system and CRM features through the OKT website. Specific services and features are described on the OKT official website (www.qikaiyuan.com). This Agreement applies to all services provided by OKT; when you use a particular OKT service that has its own terms, guidelines, or rules, you must comply with both this Agreement and those terms, guidelines, or rules as published by OKT from time to time. All such guidelines and rules form part of this Agreement. Unless otherwise expressly provided herein, any new products or services and any new features that augment or enhance the current service are governed by this Agreement.

1.2 You agree that the terms of this Agreement may be amended or modified as necessary due to product upgrades, changes in laws or policies, or improved user experience, without separate notice, and that you will be bound by the amended or modified terms. When using OKT services, you should promptly review any changes and voluntarily comply with the latest agreement and terms.

2.1 You must register an OKT account before using the Service. OKT accounts are registered and linked via mobile number. Registration information includes but is not limited to your company, mobile number, password, and all information entered when registering or updating your OKT account. Please keep this information true, accurate, lawful, valid, and up to date so that OKT can provide timely and effective assistance and better serve you. Incomplete or inaccurate information may prevent you from using the Service or result in restrictions during use.

2.2 When using the Service, you must adhere to the following principles:

● You must not endanger national security, disclose state secrets, or infringe upon the lawful rights and interests of the state, society, collectives, or citizens. You must not create, copy, access, or disseminate the following types of information:

○ Information that violates fundamental principles established by the constitution;

○ Information that endangers national security, leaks state secrets, subverts state power, or undermines national unity;

○ Information that damages national honour and interests;

○ Information that incites ethnic hatred or discrimination or undermines ethnic unity;

○ Information that undermines state religious policy or promotes cults and feudal superstition;

○ Information that spreads rumours, disrupts social order, or undermines social stability;

○ Information that spreads obscenity, pornography, gambling, violence, terrorism, or incites crime;

○ Information that defames others or infringes upon the lawful rights and interests of others;

○ Information that incites illegal assembly, association, procession, demonstration, or mass disruption of social order;

○ Information that operates in the name of illegal non-governmental organisations;

○ Information that contains other content prohibited by laws and administrative regulations.

● You must not use any improper means to harm the interests or reputation of us or other users.

● If you violate the above provisions, we reserve the right to terminate the Service to you and to assist relevant administrative authorities in investigation and enforcement.

2.3 When you use the Service, OKT has the right to charge service fees in accordance with the applicable fee description, order, or related agreement. OKT may modify or change the fee standards and methods for paid services as needed, and may begin charging for some services that are currently free. OKT will notify or announce such changes on the relevant service page before they take effect. If you do not agree to such modifications, changes, or paid content, you should discontinue use of that service.

2.4 If you wish to use certain paid OKT services, this indicates your agreement to pay all associated fees. After confirming the service content and fee standards, you may upgrade to paid services and complete payment through the third-party payment platform we provide or via corporate account. Successful payment indicates that you have obtained the right to use the paid service and that the transaction is complete. Unless OKT is unable to provide the service normally due to reasons attributable to OKT, we will not refund fees already paid.

2.5 If your OKT account or OKT agent account is stolen, you have forgotten your password, or you cannot log in normally for other reasons, you may contact us and, following the applicable process, provide the relevant materials for verification to recover your account.

2.6 To make full use of account resources, if you have failed to complete registration for an extended period or have not logged in or used your OKT account for an extended period, OKT has the right to terminate use of that account.

3.1 OKT does not provide certain user information to partners who work with OKT or who help OKT market to customers. OKT shares information with third parties only for the purpose of providing or improving products, services, and advertising; it does not provide information to third parties for their marketing purposes and does not sell personal information.

3.2 OKT respects and protects the personal privacy of all users of the Service. Personal data such as usernames and email addresses registered by users will not be proactively disclosed to third parties without the user's consent or unless required by applicable law.

3.3 To provide you with better service, OKT servers automatically record certain information, such as software information, hardware information, information you actively upload to the website servers, and your usage preferences collected and stored from your device (including mobile phones, computers, and televisions) and browser. Such information includes but is not limited to your device IMEI, username, operating system information, your IP address, cookie information, use of location services such as GPS, and pages you visit, but does not include any business-related data. We will not disclose any of your information except with your authorisation or when required by relevant government authorities in accordance with laws and regulations.

4.1 You understand and agree that OKT is merely a platform that provides users with mobile calling system and CRM-related capabilities. You are solely responsible for all conduct under your registered account (including agent accounts opened for company employees), including any content generated through your communications with any third party via OKT and any consequences thereof. You should exercise your own judgment regarding content in the Service and assume all risks arising from the use of such content, including risks arising from reliance on the accuracy, completeness, or usefulness of the content. OKT cannot and will not be liable for any loss or damage resulting from the foregoing risks.

4.2 You understand and agree that, as required by business development, OKT reserves the right to change, suspend, restrict, terminate, or revoke all or part of the Service at any time without notice. Users bear this risk.

4.3 OKT may notify you of service progress and next steps by SMS, but we do not guarantee that you will receive such messages or receive them in a timely manner, and we assume no liability in this regard. You should therefore log in to this website promptly during the service process to view and perform relevant operations. OKT assumes no liability for any dispute or loss arising from your failure to view promptly, to modify or confirm service status, or to submit relevant applications.

4.4 When using the Service, you must assume the following risks that are beyond OKT's control, including but not limited to: service interruption or obstruction due to hacker attacks, computer virus intrusion, blocking of illegal or harassing content, government regulation, or any other network, technical, communication line, or information security management measures.

4.5 If you violate applicable laws and regulations or this Agreement, OKT has the right to independently determine and at any time restrict, freeze, or terminate your use of your OKT account and OKT products and services, and to decide whether to restore use based on the actual circumstances. Any loss arising therefrom (including but not limited to communication interruption, clearing of user data and related data, etc.) shall be borne by you.

5.1 Except for content or technology involving third-party authorisation, all intellectual property related to OKT under this Agreement belongs to OKT or OKT's contracting parties and is protected by the Copyright Law, Trademark Law, Patent Law, Anti-Unfair Competition Law of the People's Republic of China, applicable international treaties, and other intellectual property laws and regulations. Users may use such content only with OKT's authorisation. Without OKT's prior written consent, users may not copy or reproduce such content, create derivative works based on it, or license, assign, or otherwise permit third parties to use or exploit the foregoing intellectual property for any commercial or non-commercial purpose.

5.2 OKT's patents, copyrights, designs, and other intellectual property, together with all information content related to OKT, including but not limited to text, images, files, information, materials, website structure, and page design, are the intellectual property of OKT as provided by law.

5.3 Unless expressly agreed by OKT or under a commercial licence, OKT users have no right to copy, distribute, assign, license, or provide the above resources to others; otherwise they must bear the corresponding liability.

5.4 OKT respects intellectual property and protects the rights enjoyed by users. In the Service, users may provide content to OKT through various means such as posting comments. In such cases, users retain full intellectual property rights in such content. By providing content, users grant OKT a worldwide, royalty-free licence to use, distribute, copy, modify, sublicense, translate, create derivative works, publish, perform, and display such content.

6.1 You agree and understand that any dispute arising from the conclusion or performance of this Agreement during your use of OKT shall be subject to the jurisdiction of the people's court in the place where OKT is located.

6.2 The formation, validity, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the mainland of the People's Republic of China (excluding conflict of laws).

6.3 If any provision of this Agreement is or becomes wholly or partly invalid or unenforceable for any reason, the remaining provisions shall remain in full force and effect, and effect shall be given to the intent reflected in such provision to the greatest extent possible.
